We collaborate with aircraft owners, operators and lessees to guide your team of aircraft brokers, lenders, insurers, lawyers, technical representatives, accountants, pilots, management and charter companies, escrow agents, and owner trustees through all aspects of buying, selling, owning and operating your aircraft.
We advise on compliance with the Federal Aviation Regulations, federal excise tax compliance, and federal income tax planning including depreciation and personal use of corporate aircraft. We advise on state sales and use tax planning, and FAA and Cape Town International Registry registration.
We draft and negotiate:
* Letters of intent and offer letters, aircraft purchase agreements, dry leases, and fractional share purchases;
* Financing arrangements, including loans and leases;
* Federal income tax and federal excise tax planning, including general depreciation planning and disallowance issues;
* State tax planning;
* Structuring transactions to comply with FAR Part 91 and FAR Part 135;
* Aircraft registration on the FAA Registry, the Cape Town International Registry, and other registries;
* Charter and/or Part 91 management agreements and pilot services agreements;
* Corporate structuring;
* Risk management/insurance;
* Import and export procedures;
* Time sharing, interchange and joint ownership agreements; and
* Ownership trusts to satisfy US registration requirements.
We advise on the purchase and resale of Russian owned aircraft, due diligence investigations of the ownership of aircraft, the resumption of the provisioning of parts and services by manufacturers, compliance with sanctions, and government licensing requirements for certain transactions.
